Terms of Service

1. Scope

These terms govern quotations, sample orders and supply of goods by Wraptio. They apply unless we have signed a separate written agreement with you, in which case that agreement prevails.

2. Quotations

Unless stated otherwise on the quotation, prices are valid for 30 days and are quoted FOB a named Chinese port. CIF, CFR and DDP terms are available on request. Prices are exclusive of destination duties, taxes and customs clearance unless the quotation expressly includes them.

Quotations are based on the specification you supplied. If the specification changes, or if the material or component cost changes materially before order confirmation, we may re-quote.

3. Orders

An order is accepted when we issue a written order confirmation or proforma invoice. Until then, no contract exists. Where a specification is ambiguous, we will confirm our understanding in writing and rely on that confirmation.

Custom-printed, custom-slit and made-to-order items cannot be cancelled or amended once production has started, because the material has already been committed.

4. Samples

Stocked grades are supplied as free samples; the recipient pays courier charges. Made-to-order samples are charged at trial-run cost, which is credited against the first bulk order for the same item. Samples are supplied for evaluation and are not for resale.

5. Payment

Unless agreed otherwise in writing, the standard terms are a 30 % deposit with the order and the balance against the bill of lading copy. We accept bank transfer and letter of credit at sight. Credit terms may be offered after two completed orders.

If a payment is overdue we may suspend production or shipment of any order for that customer without liability for the resulting delay.

6. Delivery and risk

Delivery dates are estimates and are not guaranteed unless expressly agreed as a fixed date in writing. Where the Incoterm is FOB, risk passes when the goods are loaded on board. Where it is CIF or CFR, risk passes in accordance with the applicable Incoterms 2020 rule. Title passes on receipt of full payment.

Delays caused by events outside our reasonable control — including but not limited to port congestion, carrier cancellation, force majeure, epidemic control measures and export restrictions — do not constitute breach.

7. Quantities and tolerances

Unless otherwise stated, shipped quantity may vary by ±5 % from the ordered quantity, which is a normal tolerance for tape production and packing. Invoicing follows the actual shipped quantity.

8. Claims

Documented shortages or visible transit damage must be notified within 15 days of receipt, with photographs and the carrier’s damage report where applicable. Quality claims must be notified within 30 days of receipt and must include the batch reference, the applicable specification and test evidence. We will investigate, and where the goods are shown not to conform, we will at our option replace them, credit them, or refund them. This is your exclusive remedy for non-conforming goods.

Claims cannot be accepted where the tape has been stored or applied outside the conditions in its datasheet, where the application is outside the stated rating, or where the specification was supplied by you and produced as instructed.

9. Intellectual property

Where you supply artwork, logos or a formulation for private label, you confirm you have the right to use it and you indemnify us against third-party claims arising from it. Tooling and plates we create for your private label are made for your use; tooling costs are quoted separately and are non-refundable.

10. Liability

Our total liability arising from any order is limited to the invoice value of the goods concerned. We are not liable for indirect or consequential loss, including lost profit, lost production or penalties under a contract you hold with a third party.

11. Governing law

These terms are governed by the laws of the People’s Republic of China. The parties will attempt to resolve any dispute through negotiation in the first instance. Failing that, the dispute will be submitted to the competent court at the place of the seller’s registered address, unless a different forum is agreed in writing.
